1. PARTIES AND ACCEPTANCE OF THE GENERAL CONDITIONS OF CONTRACTS

On the one hand, the provider of the Five Lands Academy service (hereinafter the service), ALUMNI EDUCATION, S.L. whose trade name is FIVE LANDS INTERNATIONAL EDUCATION (hereinafter also the provider), with registered office at Barrio Garaioltza 169 Izda, 48196 Lezama (Bizkaia) SPAIN, CIF B95918959 and e-mail: info@fivelands-education.com, being the owner of the website fivelands-education.com, exposes the contractual document of subscription to the service on the website described above.

And on the other hand, the User – Subscriber (hereinafter the User), being responsible for the accuracy of the personal data provided to the provider.

BOTH AGREE TO the present document, and it entails that the user:

a. You have read, understand and comprehend the above.
b. That he/she is a person of legal age and with sufficient capacity to contract, according to the regulations of his/her country of residence.
c. That he/she assumes all the obligations set forth herein.
d. That he/she has read and accepts the present general contracting conditions from the moment he/she subscribes to the service offered by the provider.

This document may be printed and stored by Users.

The provider makes available to them the e-mail address info@fivelands-education.com to ask any questions about these conditions.

The present conditions shall be valid for an indefinite period of time and shall be applicable to all contracts made through the provider’s website fivelands-education.com.

The provider reserves the right to unilaterally modify these General Conditions, without affecting the services or promotions to which it was subscribed prior to the modification, in order to improve the products offered. In any case, these general conditions must be consulted before purchasing the products.

It is advisable to keep a copy of the data contained in the products purchased.
FIVE LANDS cannot be held responsible for any consequences that may result from improper use of the benefits offered through the subscription to the website.

The civil responsibility of FIVE LANDS for the service provided is limited to the amount of the same, the user renounces to claim any responsibility to FIVE LANDS for any concept in any case of dissatisfaction of the service contracted in the web fivelands-education.com, as well as possible failures, slow access or errors in the access to the web, including loss of data or other type of information that could exist in the computer or network of the user that accesses the web fivelands-education.com.

FIVE LANDS offers you to subscribe to our service through the web by paying the fee shown in it and obtain the benefits associated with each fee.

2. SUBJECT MATTER OF THE CONTRACT
2.1 Scope of application: The purpose of this contract is to regulate the contractual subscription relationship born between the provider and the user at the moment the user accepts these terms and conditions during the online contracting process by checking the corresponding box. These GTC shall apply from the day on which the subscription is made.

The contractual subscription relationship entails access to a specific service, in exchange for a specific price publicly displayed on the website.

The service is a monthly online program that allows you to prepare and apply to universities by yourself with the technological and professional support of Five Lands. You can contract the program for as many months as you need with no obligation of permanence. It gives you access to a Global University Platform, an online repository for document storage (functionality within the platform itself) and free access to all Webinars and Master Classes offered by Five Lands consultants.

2.2 Territory of application: The subscription to the service is active for the entire world.

2.3 Capacity to contract: In order to subscribe you must be of legal age and have the capacity to contract.

2.4 User acceptance: The validation of the subscription through the website fivelands-education.com is done by email and also implies the automatic acceptance of the GTC. These conditions are available on the website fivelands-education.com or, if you wish and request, we can make them available to you by e-mail.

2.5. Modification of the General Terms and Conditions: FIVE LANDS reserves the right to make changes and/or modifications to these Terms and Conditions. We advise our users to review them regularly. In the event that these changes or modifications are introduced after your subscription has been made, the conditions in force on the date on which the subscription was made will apply, except for the change in the fee.

3. INFORMATION PROVIDED ON THE WEBSITE fivelands-education.com

3.1 Publication of prices: The price of the subscription fee, is the one that appears on our website.

3.2 Information on fees: In order to use the service, the user must register by means of a subscription form. The initial registration entitles the user to enjoy the fee and the services it contains.

The fee that FIVE LANDS makes available to the User is the monthly fee of 45€ or annual fee of 495€ (one month for free) for the Five Lands Academy Basic program and 160€ for the Five Lands Academy Premium program. the Five Lands Academy Basic program gives you access to a Global Platform of Unifrog Universities as well as to our Webinars and Master Classes. The Five Lands Academy Premium program adds 3 hours per month (non cumulative) of consultancy by email. All the information, features and price of the fee is available on the website at the following link.

The information contained in our advertising, brochures, other written material, on our website or provided to you about subscriptions constitutes an invitation to subscribe. The contents of fivelands-education.com are constantly being renewed and updated to provide our users with the most complete and detailed information possible. All contractual information on fivelands-education.com is displayed on in Spanish and English and communication with users, as well as the formalization of the contract, will be carried out in one of these languages.

3.3 Right to unsubscribe: The user may unsubscribe by accessing the following link and following the instructions described, or by sending an email to the email admin@fivelands-education.com requesting to unsubscribe from the service by adding the full student name.

3.4 Management of the subscription: The subscription begins when FIVE LANDS has received the payment of the fee and accepted the present conditions.

Once you are registered, you can change your program. To do this, you must contact FIVE LANDS through our contact email and you will be informed of the service, you will receive the corresponding budget and the management of the unsubscription.

3.5 Fraud: If FIVE LANDS suspects or detects any anomaly or fraud, it reserves the right to cancel the registration for security reasons.

4. SUBSCRIPTION PROCEDURE
In order to access the subscription, the user must register through the website using the subscription form. To do so, the user must freely and voluntarily provide the personal data that will be required.

The user, once subscribed, will receive an email with the registration and unsubscription instructions that should be saved for future use.

It is informed the contracting procedure will follow the following steps:

1. Go to the “Subscribe” button.
2. Personal data will be requested by completing the data collection form. Once the form has been completed, you will receive an e-mail confirming your registration and instructions for cancellation at the e-mail address provided.
You should check the spam and junk mail controls in your email inbox and always verify that the contact information you provide is correct.
3. Once you have filled in the form, you must tick the checkbox as this is acceptance of these General Terms and Conditions and the Privacy Policy .
4. To complete the process, click on the “Proceed to payment” button.

In any case, the provider’s contracting platform will inform the user, once the contracting procedure has been completed, via e-mail regarding all the characteristics, price, contracting date and cancellation procedure.

If there is any type of error in your data, you must notify it immediately to the e-mail address that will appear on the web to proceed with the correction of this error.

If you have any questions, you can contact our Customer Service Department through any of the methods provided on the website fivelands-education.com.

FIVE LANDS will provide Customer Service for FREE through our contact email info@fivelands-education.com, if you choose another alternative means of communication, the user is the one who must bear the particular cost of the same.

5. DISCHARGE CONFIRMATION
Once the registration has been completed and payment has been received, FIVE LANDS will send you an email confirming your subscription.

It is the user’s responsibility to validate that the data provided is correct. FIVE LANDS will review the errors, although it is not always possible to modify them. In the purchase procedure, you will be given the option to check that the data filled in are correct before generating the registration.

6. PRICES AND TERMS OF VALIDITY OF PROMOTIONS
All prices of fivelands-education.com fees include the TAX in force at the time of subscription. All prices shown on the website are valid and will be expressed in USD currency ($).

The subscription invoice is available in the user’s private area .

In the case of promotions of limited duration, the promotional discount will be applied as long as the registration was made during the promotional period.

The data recorded through the payment methods constitute proof of the date on which the financial transactions were made and will be used to determine whether or not the subscription is subject to promotion.

7. METHODS OF PAYMENT
Stripe: The user must have a valid credit or debit card. The operation is formalized at the time of placing the order without the need to be registered on this platform and through the payment form where you must specify all digits of the card number, expiration date and CVV code. Only secure card payments are accepted in which authentication of your identity as the card holder is performed.

8. RIGHT OF WITHDRAWAL, CANCELLATION
8.1 Right of withdrawal: When the user has discharged, the performance of the service has started, therefore, loses the right of withdrawal.

8.2 Cancellation: The user may unsubscribe at any time through the link provided in the registration email (link). Until the end of the contracted period, even after unsubscribing, the user will enjoy the benefits as a subscriber until the end of the subscription period.

9. USER BEHAVIOR/OBLIGATIONS

Obligations and responsibilities of the User:

• Pay the contracted fee.
• Be of legal age as established in the legislation of your country of residence.
• Full responsibility for the use and custody of your access data and responsibility for the accuracy of the personal data provided to the provider and in your profile.
• Before starting any action, you can count on our help to resolve any doubts.

10. SPECIAL CONDITIONS
FIVE LANDS reserves the right at any time and without prior notice to:

• Modify, suspend or terminate this website or any part of it;
• Restrict, limit, suspend or terminate your access to FIVE LANDS or any part of the Site if, in the reasonable opinion of this entity, you fail to comply with these Terms and/or applicable law.
  FIVE LANDS does not guarantee the accuracy, timeliness or completeness of the information disseminated in the User Profiles, nor does it guarantee the conformity of such information with the use that the User wishes to make of it.
  FIVE LANDS is not subject to any obligation of result arising from the contract between the parties.

11. INVALIDITY OR UNENFORCEABILITY OF THIS DOCUMENT
If any provision of these terms and conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent so that the remaining provisions shall continue in full force and effect.

12. APPLICABLE LAW AND JURISDICTION
These conditions shall be governed by or construed in accordance with Spanish law in that which is not expressly established. The provider and the user agree to submit any dispute that may arise from the provision of the services covered by these Conditions, to the Courts and Tribunals of the domicile of the provider or the user.

13. DURATION
This contract has the duration of the subscription period contracted by the user from the date of the beginning of the contract. The minimum duration is one month from the subscription of the plan and the renewal will be automatic by months until the cancellation of the plan.

On the day of its expiration, the contract will be extended for an equal period if the User has not notified through his/her private area his/her will not to extend it. In case of extension, the fee will be charged by the same means.

FIVE LANDS offers you the possibility of contracting our programs described on the website by paying the price of each program budgeted for each client and obtain the benefits associated with each one.

2. OBJECT OF THE CONTRACT

2.1 Scope of application: The purpose of this contract is to regulate the contractual purchase relationship born between the provider and the user at the moment the user accepts these conditions during the contracting process. These GTC shall apply from the day on which the program is contracted.

The contractual relationship involves access to a specific service in exchange for a specific price.

The service is one of the programs offered on the provider’s website that allows you to prepare and apply for admissions to universities around the world with the technological and professional support of Five Lands.

2.2 Scope of service: The service includes the following activities that the provider is obliged to offer within the service period as long as they are included in the contracted program:

Early Preparation

• Access to Five Lands Academy.
• Personalized advice with a consultant via chat, phone or email.
• Student Manual.
• Access to the Virtual Weekly Support Sessions (OAS).
• Action plan personalized to the student.

Full Academic Advising

• Access to Five Lands Academy.
• Personalized advice with a consultant via chat, phone or email.
• Student Manual.
• Access to the Virtual Weekly Support Sessions (OAS).
• Personalized action plan for the student.
• Best-Fit Plan with a proposal of 8 universities aligned with the student’s profile and requirements.
• Support throughout the application process (maximum 8 universities) and admission to the chosen university:
  • Support in the registration of the different “standard” entrance tests to the different universities.
  • Creation of access accounts in the different admission application tools.
  • Review of applications to each university.
  • Review of the tests to be submitted in each application.
  • Coordination with the school for letters of recommendation if necessary.
  • Coordination with the school for the sending of grades if necessary.
  • Creation of transcripts in “pdf” format to be sent to the school or university.
  • Support in the decision making process once the bids have been received.
  • Accompaniment during the registration phase at the university where you have been admitted (acceptance of the offer, student portal, selection of classes).
  • Visa support if necessary (I-20, Affidavit, bank letters).
  • Pre-departure orientation talk (USA only).

Fast Track

• Online repository for document storage.
• Personalized advice with a consultant via chat, phone or email.
• Support throughout the application process for admission and admission to the universities chosen:
  • Support in the registration of the different “standard” access tests required for the application/s.
  • Creation of the login account/s in the application tool.
  • Review of the application/s for admission.
  • Review of the tests to be submitted in the application/s.
  • Coordination with the school for letters of recommendation if necessary.
  • Coordination with the school for the sending of grades if necessary.
  • Creation of transcripts in “pdf” format to be sent to the school or university.

2.3 Activities not included in the Service: The following activities are not included in the Service and the Provider is not obliged to carry out the following activities

• Substantial changes to the Best-Fit Plan once revised (change of university degree, change in destination countries, adding new universities to the 8 proposed, etc.). In case the buyer explicitly wishes these changes to be executed, they will be charged according to the current hourly rate included in the quotation.
• The registration of the different “standard” entrance tests to the different universities.
• Completion of admission applications in the different application applications of each university. In case the buyer explicitly wishes these changes to be executed, they will be charged according to the hourly rate in force and included in the quotation.
• Drafting of essays (for reasons of professional ethics, essays will not be written in any case).
• Drafting of letters of recommendation (other than the lender’s own).
• Application for scholarships within or outside the universities.
• Selection and registration of classes at the chosen university.
• Translations (billed according to current rates and included in the quotation).
• The sending of new information to the universities that offer admission, since this communication goes directly to the student and it is the student who is ultimately responsible for sending this information within the requested date.
• The final review of applications for admission to each university, which is the student’s responsibility.

2.4 Territory of application: The purchase of the service is active for the entire world.

2.6 User acceptance: The validation of the contract is done by accepting the quotation sent by the provider to the buyer online and also implies the automatic acceptance of the GTC. 2.7. Modification of the General Terms and Conditions: FIVE LANDS reserves the right to make changes and/or modifications to these Terms and Conditions. We advise our users to review them regularly. In the event that these changes or modifications are introduced once the contract has been signed, the conditions in force on the date on which the contract was signed will apply, except for the change in the fee.

The contents of www.fivelands-education.com are constantly being renewed and updated to provide our users with the most complete and detailed information possible. All the contractual information present in www.fivelands-education.com is shown in Spanish and English and the communication with the users, as well as the formalization of the contract, will be carried out in one of these languages.

3.3 Management of the registration: The start of the service begins when FIVE LANDS has received the payment of the fee and accepted the present conditions.

3.4 Fraud: If FIVE LANDS suspects or detects any anomaly or fraud, it reserves the right to cancel the registration for security reasons.

Once the user receives the quotation, he/she must approve it through online acceptance and complete a contact and billing data form.

It is informed that, the contracting procedure will follow the following steps:

1. Request, receive and approve a quotation using the “Approve quotation” button.
2. Personal data will be requested by filling in the data collection form. Once the form has been completed, you will receive an e-mail confirming your registration at the e-mail address provided.
You should check the spam and junk mail controls in your email inbox and always verify that the contact information you provide is correct.
3. Once you have filled in the form, you must tick the checkbox as this is acceptance of these General Terms and Conditions and the Privacy Policy.

6. PRICES AND TERMS OF VALIDITY OF PROMOTIONS

The user will receive an invoice to the indicated e-mail address for each billing milestone.

In the case of promotions of limited duration, the promotional discount will be applied as long as the registration was made during the promotional period.

7. METHODS OF PAYMENT
Buyer shall pay Provider for the Services by payment of all invoiced amounts via bank transfer (or other means of payment offered by Provider) in the currency specified by Provider and before the due date indicated on the invoice. The method of payment is set out in the quotation.

The provider is not obligated to begin or continue service until the required payments have been received. For each day of delay in the receipt of payments, the provider may extend the schedule of activities for each program by the same amount.

The following fees are not included in the Service and shall be borne by the purchaser. In the event that the purchaser wishes, for reasons of ease or speed, that these fees be borne by the Provider, the latter shall invoice the amount of the fee plus the processing time (according to the current rate included in the quotation) to the purchaser.

• Fees for the different official entrance exams.
• Admission application fees at each university.
• The athletic eligibility fee (NCAA, NAIA, NJCAA, U-SPORT, etc.).
• The fee for obtaining the visa.
• The fee for the official validation of school grades (WES, ECE, etc.).
• The cost of training in case it is needed (English, SAT…).
• Extracurricular activities offered by the lender

8. RIGHT OF WITHDRAWAL, CANCELLATION
8.1 Right of withdrawal: When the user has discharged, the performance of the service has started, therefore, loses the right of withdrawal.

8.2 Cancellation: The user may cancel the condition of buyer, when any of the following causes occur and is communicated in writing by sending an email to the email admin@fivelands-education.com requesting the cancellation of the service and adding the full name of student.

• The purchaser may terminate the service for cause of the provider, if the latter does not perform his obligations as described in the contracted program. In this case, the Provider shall reimburse the Buyer for the proportional part of the service not performed.
• The buyer may terminate the service for reasons beyond the provider’s control. In this case, the purchaser shall be obliged to pay the proportional part of the services performed according to the following schedule:
  • If not yet invoiced, an invoice will be issued for services performed to date (minimum 3 hours of consulting at the current hourly rate included in the quote).
  • If the service has been invoiced but not yet paid to the service provider, the initial invoice will be cancelled by means of a corrective invoice and a new invoice will be issued for the services performed to date (minimum 3 hours of consulting services at the current hourly rate included in the quotation).
  • (Full Advising Program) If the first part of the service has been invoiced and the buyer has already paid the provider and the following circumstances apply:
    • If the termination of the service is communicated in writing by the buyer before the provider begins the development of the Action Plan and within 30 days from the payment of the first invoice, the buyer would refund a maximum of 50% of the first initial payment of this program based on the hours consumed.
    • Otherwise, if the Action Plan has already been started or the maximum time of 30 days from the payment of the first invoice has been exceeded, the Provider is not obliged to refund the amounts already invoiced and paid by the buyer.
• The Provider may suspend or terminate the service for cause of the Buyer, if the Buyer fails to meet payment milestones or for any other duly justified cause. In this case, the Provider shall claim the outstanding payments from the Buyer.

9. USER BEHAVIOR/OBLIGATIONS
Obligations and responsibilities of the User:

• Pay the contracted fee.
• Be of legal age as established in the legislation of your country of residence.
• Full responsibility for the use and custody of your access data and responsibility for the accuracy of the personal data provided to the provider and in your profile.
• Before taking any action, we will be happy to help you with any questions you may have.

10. SPECIAL CONDITIONS
FIVE LANDS reserves the right at any time and without prior notice to:

• Modify, suspend or terminate this website or any part of it;

13. DURATION
This contract is for the duration of the subscription period contracted by the user from the date of the beginning of the contract. The service will have a determined duration according to the contracted program:

• Early Preparation: Maximum duration of one year. May not be extended beyond the third senior year before the end of high school.
• Full Academic Advising: Maximum duration of two years or until all Action Plan milestones are completed or the student enters college (whichever comes first).
• Fast Track: Maximum duration of six months or until the student enters the chosen institution (whichever comes first).

14. CONFIDENTIALITY
Lender and Buyer may share Confidential Information in connection with the Contracted Program. “Confidential Information” means written or oral information designated as “confidential” or “proprietary”.

The recipient of the information classified as confidential agrees to use the Confidential Information only in connection with the performance of the service and to undertake the necessary measures to prevent the transfer to other persons. Notwithstanding this restriction, the provider may disclose the Confidential Information to its suppliers in connection with the subject matter of the service.

In order to perform the service correctly, the client’s registration in the universities’ applications will be done jointly and the user and password generated will be used by both parties. This is required so that FIVE LANDS can carry out the contracted service correctly.

Once the relationship is terminated, it is the obligation of the comparator to modify this password and FIVE LANDS undertakes to delete it.

15. LIMIT OF LIABILITY
The Seller shall not be liable if, having executed the plan as approved in the Action Plan, the results have not been as expected. Results are understood to mean:

• Timely submission of applications for admission (the Buyer is responsible for submitting applications for admission by the deadline at each university). The Provider is not obligated to review the individual applications for admission if they are not sent to the Consultant at least 2 weeks prior to the submission deadline.
• Admission to one of the requested universities.
• Obtaining scholarships both in the Universities applied for and in other independent entities.
• Achievement of the target English level after the training provided.
• Achievement of the required entrance exam scores after the training provided.
• Obtaining an entry visa to the country of destination.
• Transfer of credits from one institution to another.

The Provider is not responsible for the actions taken or not taken by the Buyer during the registration phase at the chosen university and obtaining the visa. It is the responsibility of the buyer once admitted to do all the steps required by the university and it is not possible to blame the lender for not doing them.

FIVE LANDS is not subject to any obligation of result arising from the contract between the parties.

16. PROTECTION OF PERSONAL DATA
FIVE LANDS LLS, has a headquarters in the Spain ALUMNI EDUCATION S.L., Barrio Garaioltza 169 Izda, 48196 Lezama (Bizkaia), so there will be a flow of personal data from the US territory to the Spanish (international data transfer) necessary for the execution of the contract.

The purpose of data processing will be the maintenance, development, control and execution of the contractual relationship that, within the framework of the provision of the services identified in the object of the contract, you maintain with FIVE LANDS LLC.; and if you have your consent, we will keep you informed by sending you our news electronically.

All FIVE LANDS LLC. personnel shall be aware of the data protection regulations at the time they proceed to process the information owned by the client.
